Terms of Service

These Terms govern your use of the SpearEdge LLC website and the ClearHire application. Please read them — section 10 and 11 limit our liability, and section 14 sets where disputes are resolved.
1. Agreement
These Terms of Service ("Terms") govern your access to and use of the SpearEdge LLC website at spearedgellc.com and the ClearHire mobile application (together, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Who may use the Services
You must be at least 13 years old, and old enough to form a binding contract in your jurisdiction, to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. What ClearHire is — and what it is not
ClearHire is a private commercial resume-building and job-search tool. It is not affiliated with, endorsed by, or operated by the U.S. Office of Personnel Management, the Department of Veterans Affairs, the Department of Defense, USAJOBS, or any other federal agency. Federal job listings displayed in the app originate from public government sources and remain the property of those sources.
4. Your content
You retain all rights to the resume content, work history, and other material you create using the Services ("Your Content"). You grant SpearEdge only the limited license necessary to store, process, and display Your Content for the purpose of operating the Services for you. We do not claim ownership of Your Content and we do not use it to train machine-learning models.
You are responsible for the accuracy of Your Content. Submitting false information in a federal employment application may carry legal consequences under federal law; SpearEdge is not responsible for what you choose to submit.
5. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the Services, except where that restriction is prohibited by law;
- Access the Services by automated means, scrape them, or place unreasonable load on our infrastructure;
- Probe, scan, or test the vulnerability of any system without following our published security disclosure process;
- Use the Services to transmit malware, or to impersonate any person or entity;
- Use the Services in violation of any applicable federal, state, or local law.
6. Purchases and subscriptions
Certain ClearHire features may be offered as paid in-app purchases or subscriptions. All purchases are processed by Apple through the App Store and are governed by Apple's terms and refund policy. Subscription pricing, renewal terms, and cancellation are disclosed at the point of purchase; manage or cancel a subscription in your Apple ID account settings. SpearEdge does not process or store your payment card information.
7. Intellectual property
The Services, including the SpearEdge and ClearHire names, logos, interface designs, and underlying software, are owned by SpearEdge LLC and protected by intellectual property law. These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. No other rights are granted.
8. Third-party services
The Services may link to or interoperate with third-party systems, including USAJOBS and the Apple App Store. We do not control those services and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms.
9. Availability and changes
We may modify, suspend, or discontinue any part of the Services at any time. We will make reasonable efforts to give notice of material changes that affect paid features. We do not guarantee uninterrupted or error-free operation.
10. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SPEAREDGE DOES NOT WARRANT THAT USE OF THE SERVICES WILL RESULT IN EMPLOYMENT, AN INTERVIEW, A REFERRAL, OR ANY PARTICULAR OUTCOME.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEAREDGE LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR EMPLOYMENT OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SPEAREDGE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless SpearEdge LLC from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of the rights of any third party.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms or if we are required to do so by law. Sections 4, 7, and 10 through 15 survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction. Nothing here prevents either party from seeking relief in small claims court.
Before filing any formal claim, you agree to contact us at legal@spearedgellc.com and attempt to resolve the matter in good faith for at least thirty (30) days.
15. General
These Terms, together with our Privacy Policy, are the entire agreement between you and SpearEdge regarding the Services. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
